Terms & Conditions

Effective Date: 7/11/2025
Service Provider: NU.XA, registered in Ireland (“NU.XA”, “we”, “our”, “us”).
Client (“you”, “your”) refers to any business or individual engaging NU.XA for strategic, audit, or consultancy services.

1. Scope of Services

1.1 NU.XA provides website strategy, audit, and implementation-support services (the “Services”).
1.2 These Services may include, but are not limited to:

  • A complimentary 1-page mini audit (“Free Audit”),

  • A comprehensive Go-To Strategy document,

  • A prioritised task list designed to guide website optimisation,

  • Optional implementation support, and

  • Post-strategy support for a limited period (see Clause 6).
    1.3 NU.XA does not provide web development, hosting, or marketing campaign management services unless explicitly stated in writing.

2. Free Audit and Payment Terms

2.1 The Free Audit is provided as a goodwill introduction to showcase our approach.
2.2 Upon completion of the Free Audit, NU.XA may issue an invoice for the full Strategy Service upon agreement in writing with the client. 
2.3 Once payment is received, NU.XA will commence work on the full Strategy and task list package.
2.4 All invoices must be paid in full before any deliverables are released unless otherwise agreed in writing.
2.5 Payments are non-refundable once work on the Strategy begins.

3. Data Access and Security

3.1 To perform a website audit or strategy, you may be asked to provide NU.XA with access credentials, such as:

  • Temporary WordPress logins,

  • Hosting or server panel access (e.g., cPanel),

  • Analytics or performance data.
    3.2 These credentials will be used solely for diagnostic and strategic purposes and will be deleted upon completion of the project.
    3.3 NU.XA strongly advises that you:

  • Create temporary credentials wherever possible, and

  • Delete or change all passwords immediately after the project ends.
    3.4 While NU.XA takes all reasonable precautions to secure your data, you acknowledge that granting access carries inherent risks. NU.XA is not liable for breaches occurring outside our direct control, or following project completion.

4. Deliverables and Timelines

4.1 The Free Audit will typically be delivered via email within 5 business days of request acceptance.
4.2 The full Go-To Strategy will be delivered within 14 business days following receipt of payment and any required information.
4.3 Timelines may extend due to delays in client communication or access provision.
4.4 NU.XA retains the right to reschedule delivery if necessary for quality assurance.

5. Strategic Nature of Services

5.1 NU.XA’s deliverables are advisory in nature and designed to guide business decisions regarding website optimisation and performance improvement.
5.2 While NU.XA’s recommendations are based on industry best practices and experience, no specific business outcomes are guaranteed.
5.3 You acknowledge that website performance, lead generation, or revenue outcomes depend on multiple factors outside NU.XA’s control, including but not limited to:

  • Quality of implementation by your developer,

  • Market conditions,

  • Competition,

  • Advertising spend,

  • Hosting performance, and

  • Overall business operations.
    5.4 Accordingly, NU.XA shall not be held responsible for any loss, reduced revenue, or unrealised performance improvements resulting from implementation or non-implementation of our recommendations.

6. Post-Strategy Support

6.1 NU.XA provides post-strategy support for a period of three (3) calendar months from the delivery date of the full Strategy.
6.2 Support covers clarification, guidance, and advisory feedback related to the deliverables.
6.3 Support does not include ongoing implementation, new analyses, or website maintenance.
6.4 After three months, further support will require a new engagement agreement.

7. Intellectual Property

7.1 All materials, documents, or digital deliverables created by NU.XA remain the intellectual property of NU.XA until full payment is received.
7.2 Upon full payment, NU.XA grants you a perpetual, non-exclusive, non-transferable licence to use the deliverables internally within your business.
7.3 You may not reproduce, sell, or distribute NU.XA’s deliverables externally without written consent.

8. Confidentiality

8.1 NU.XA will treat all client information, data, and access credentials as confidential.
8.2 NU.XA may share limited information with trusted subcontractors strictly for the purpose of delivering the Services, under confidentiality obligations.
8.3 Confidentiality obligations remain in effect indefinitely after project completion.

9. Limitation of Liability

9.1 To the fullest extent permitted by law, NU.XA’s total liability to you for any claim, loss, or damage, whether in contract or tort, shall not exceed the total amount paid for the applicable Services.
9.2 NU.XA will not be liable for:

  • Indirect, incidental, or consequential losses;

  • Loss of revenue, profit, or data;

  • Issues arising from implementation by third parties.
    9.3 Nothing in these Terms limits liability for death, personal injury, or fraud caused by NU.XA’s negligence.

10. Client Responsibilities

10.1 You agree to:

  • Provide accurate and timely information, access, and approvals,

  • Implement NU.XA’s recommendations responsibly, and

  • Ensure compliance with all applicable laws and regulations.
    10.2 NU.XA is not responsible for delays, errors, or omissions resulting from your failure to provide required information.

11. Termination

11.1 Either party may terminate this agreement if the other breaches a material term and fails to remedy within 14 days of written notice.
11.2 On termination, you must pay NU.XA for all work performed up to that date.
11.3 NU.XA reserves the right to suspend Services for non-payment or misuse of deliverables.

12. Amendments

NU.XA may update these Terms periodically. The most current version will always be available on our website. Continued use of our Services after an update constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of Ireland, and both parties agree to submit to the exclusive jurisdiction of the Irish courts.
